1. Acceptance of Terms

By accessing or using the services provided by Zmey Consulting ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Zmey Consulting regarding your use of our freelancer support services.

2. Description of Services

Zmey Consulting provides freelancer enablement services including, but not limited to:

Freelancing account creation and profile optimization
Project discovery, bidding, and acquisition
Project execution and delivery by our senior development team
Client communication and relationship management
Payment processing and revenue distribution

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

4. Revenue Sharing Model

Our services operate on a revenue-sharing basis. The specific percentage applicable to your account is determined by your selected plan (Starter, Professional, or Enterprise) and is outlined in your service agreement.

Revenue shares are calculated from the net project payment after platform fees
Payments to users are processed within 7 business days of revenue receipt
Detailed earning statements are provided for every transaction
No upfront fees are charged; revenue sharing applies only to completed, paid projects

5. Platform Compliance

Zmey Consulting is committed to operating in full compliance with all applicable freelancing platform terms of service, user agreements, and community guidelines. We do not engage in any activities that violate platform policies. Users acknowledge that compliance with platform rules is a fundamental principle of our operations.

6. User Responsibilities

Provide accurate personal and professional information during onboarding
Maintain a stable internet connection for communication and coordination
Respond to team communications in a timely manner when required
Not engage in any activity that would compromise account standing or platform compliance
Keep your credentials and access information confidential

7. Intellectual Property

All content, branding, and materials on our website are the property of Zmey Consulting. Project deliverables created on behalf of clients belong to the respective clients per the terms of the freelancing platform. Users retain ownership of their personal information and portfolio materials.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This includes, but is not limited to, account credentials, client information, project details, financial data, and business strategies.

9. Limitation of Liability

Zmey Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services. Our total liability for any claims arising from our services shall not exceed the total revenue share paid to us in the 12 months preceding the claim.

10. Termination

Either party may terminate this agreement with 30 days' written notice. Upon termination:

All pending project payments will be settled according to the revenue-sharing agreement
Account access and management will be transferred to the user upon request
Confidentiality obligations survive termination indefinitely

11. Modifications to Terms

We reserve the right to modify these Terms at any time. Users will be notified of material changes via email at least 14 days before the changes take effect. Continued use of our services after modifications constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable international commercial law. Any disputes arising from these Terms shall be resolved through binding arbitration in a mutually agreed-upon jurisdiction.
